Squidbox – End User License Agreement
Version 1.0 of October 12, 2026
DRAFT – have this reviewed by a lawyer before publishing. Text in square brackets is a placeholder.
Licensor: [name or company], [address], [email address] ("we", "us").
1. Scope
1.1 This agreement covers the Squidbox software with all updates, the content that comes with it (devices, presets, templates, examples, the Squidbox SDK) and its documentation (together, the "Software").
1.2 By installing or using the Software you accept this agreement. Your statutory rights as a consumer remain unaffected in every case.
1.3 The purchase of a Pro license is governed by the sales contract with the seller (our shop or a reseller). This agreement governs how you may use the Software.
2. Editions
2.1 Squidbox Lite is free. It includes every feature within the limits the Software shows under Help ▸ Account (currently 10 tracks, 5 devices per signal path and 5 active squidboxes).
2.2 Squidbox Pro is paid and removes these limits.
2.3 We may change the Lite limits for future major versions. They never change for a version you have already installed.
3. License grant
3.1 Lite: you may use Squidbox Lite on any number of computers, privately and commercially.
3.2 Pro: with your purchase you receive a non-exclusive, perpetual license, transferable under section 7, to use Squidbox Pro in the major version you bought (for example "Squidbox 1"), including all updates within that major version (1.x).
3.3 A Pro license is for one person. It may be activated on up to three computers at the same time that this person uses, for example a studio computer and a laptop. If an organization buys the license, it names one person who uses it.
3.4 Music, projects and other works you create with the Software belong to you. We claim no rights in them. Commercial use is permitted.
3.5 You may use the included presets, templates and examples in your own works. You may not distribute or sell them as a collection of their own.
4. Activation
4.1 Squidbox Pro is activated through your customer account: in the Software under Help ▸ Account or, for a computer without an internet connection, through the offline activation in your account on our website.
4.2 When activating, the Software sends the machine code (a check value calculated from an identifier of the operating system, which cannot be turned back into that identifier), the computer name, the operating system and the Squidbox version. The activation key carries the license holder's name and email address and is valid on this one computer only.
4.3 Once activated, the Software does not check the license online again. An activated computer keeps running permanently, also without an internet connection.
4.4 You end an activation in the Software (Help ▸ Account ▸ Deactivate) or by removing the computer in your customer account. If you remove a computer in your account, you agree to stop using Squidbox Pro on that computer and to delete the activation there.
4.5 If a computer's machine code changes, for example after reinstalling Windows, the computer needs a new activation. Then remove the old one in your account.
4.6 You may not circumvent the activation, change or imitate a computer's identifier to move an activation, or pass account credentials or activation keys on to others.
5. Updates and new major versions
5.1 Updates within the major version you bought are free for as long as we offer them. Statutory obligations to provide updates remain unaffected.
5.2 A new major version (for example Squidbox 2) is a paid upgrade. Without the upgrade, the new major version runs as Lite. You may keep using the major version you bought for as long as you like.
5.3 The Software asks our server at most once a day whether a new version is available. Only the version identifier and, for technical reasons, your IP address are transmitted. You can turn the check off under Help ▸ Version & Updates.
6. Restrictions
6.1 You may not rent out, lend or sublicense the Software, and you may not share your customer account with others.
6.2 You may not modify, decompile or reverse engineer the Software, except where the law expressly permits it (for example sections 69d and 69e of the German Copyright Act).
6.3 You may not remove copyright or trademark notices.
7. Resale and transfer
7.1 You may transfer, sell or give away your Pro license to another person. A transfer is free of charge and possible any number of times, but only as a whole: activations cannot be split between several people.
7.2 You start a transfer in your customer account, addressed to the new holder's email address. It takes effect as soon as the new holder accepts it. Starting a transfer ends all activations of your license.
7.3 When you start a transfer, you must deactivate Squidbox Pro on all of your computers, stop using the license and delete any copies of your activation keys.
7.4 The new holder takes over the license under this agreement, with the major version bought and all upgrades.
7.5 A transfer does not affect rights under the sales contract between the first buyer and the seller.
7.6 Trial, NFR and education licenses marked as such cannot be transferred.
8. Third-party software
8.1 Plug-ins (VST3, CLAP, Audio Units) and squidboxes by other providers are subject to their own terms. Their providers are responsible for them.
8.2 Squidboxes run in an isolated environment. A squidbox you grant network access can communicate with the services it names. Its provider is responsible for that.
8.3 The Software contains open-source components that are subject to their own licenses. The list is under Help ▸ About Squidbox.
8.4 VST is a trademark of Steinberg Media Technologies GmbH. ASIO is a trademark and software of Steinberg Media Technologies GmbH.
9. Warranty
9.1 Consumers have the statutory warranty rights for digital products.
9.2 For the free Lite edition, we are liable for defects only if we fraudulently concealed them.
9.3 Please back up your projects regularly.
10. Liability
10.1 We are liable without limitation for intent and gross negligence, for injury to life, body or health, under product liability law and to the extent of any guarantee we have given.
10.2 For slight negligence, we are liable only if we breach an essential contractual obligation, meaning an obligation whose fulfillment makes the contract possible in the first place and on which you may regularly rely. Liability is then limited to the foreseeable damage typical for this kind of contract.
10.3 For loss of data, we are liable only up to the effort that restoring it would have required had it been backed up regularly.
10.4 Any further liability is excluded. For the free Lite edition, we are liable only for intent and gross negligence; section 10.1 remains unaffected.
11. End of the license
11.1 If you materially breach this agreement, for example by passing on activation keys or circumventing the activation, we may terminate the license after an unsuccessful warning. Serious breaches need no warning.
11.2 If the purchase is withdrawn from or reversed, the Pro license ends.
11.3 When the license ends, you must stop using Squidbox Pro. You may keep using Squidbox Lite.
12. Privacy
12.1 For your customer account we store your email address, your name, your password (only as an irreversible hash), your licenses and their activations (machine code, computer name, operating system, Squidbox version, time). We process this data to perform the contract (Art. 6(1)(b) GDPR).
12.2 Details are in our privacy policy: [address of the privacy policy].
12.3 Crash reports leave your computer only if you export them yourself and send them to us.
13. Changes to this agreement
13.1 A license you bought is governed by the version of this agreement you accepted at purchase. A new version applies to versions of the Software for which you accept it at installation or first start. We do not change this agreement to your disadvantage without your consent.
14. Final provisions
14.1 This agreement is governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice of law applies only insofar as it does not deprive you of the protection of mandatory provisions of the country in which you have your habitual residence.
14.2 If you are a merchant, the place of jurisdiction is [city].
14.3 If any provision is invalid, the remaining provisions remain valid.
